GENERAL TERMS AND CONDITIONS OF PURCHASE
1. SCOPE OF APPLICATION OF THE CONTRACT AND ACCEPTANCE
These General Terms and Conditions of Purchase regulate the purchase by the Customer (hereinafter, the "Customer") of the products sold (hereinafter, the "Products") on the www.fudiandco.com website (hereinafter, "Fudi&Co") of which DEM Alimentos S.L., (hereinafter, "DEM") is the owner. DEM is a Limited Company with registered office at Calle Marqués de San Esteban nº1, 4th Floor; Gijón, Asturias (C.P: 33206), with CIF B-52549821 and registered in the Mercantile Registry of Asturias (Deed 2017/486, Volume 4243, Folio 165, Entry 1 AS-50952).
These General Terms and Conditions of Purchase are completed and complemented by the specific conditions that may be established and, where appropriate, by the Conditions of Use of the Portal and our Privacy Policy.
The Customer acknowledges that he has the legal capacity to bind himself and acquire the products, and agrees to be bound by these General Conditions.
In the case of individual Customers, only those over eighteen (18) years of age residing in the European Union with a delivery address in the Peninsula, the Balearic Islands and the Canary Islands may purchase the products.
Customers who are legal entities must be residents of the European Union and have a delivery address in the Peninsula, the Balearic Islands and the Canary Islands.
2. PURCHASE PROCESS
The purchase of the products offered at Fudi&Co is made by selecting the chosen products, which will be included in the shopping cart. Once the selection has been completed, the purchase will continue, proceeding to fill in the personal data for the issuance of the invoice, the form of payment and the shipping data of the products. Such completion may require the Client to register as a Fudi&Co user, and the Client must fill in the corresponding form provided for this purpose.
During the purchase and sale procedures, the Client may modify both the selected products and their number, the personal data filled in, the payment method and the place of shipment by going back in the Fudi&Co purchase procedure before the final acceptance of the sale.
Once the purchase has been made, it will be confirmed by acknowledgment of receipt by sending an email, within a maximum period of 24 hours, to the address indicated by the buyer, confirming the products purchased, the costs, taxes and shipping costs, the method of payment and the place and delivery time. At this time, the contract will be formalised (the language of which will be Spanish) and will imply the Client's full acceptance of the DEM commercial offer made through Fudi&Co and the applicable conditions.
In any case, each purchase is subject to payment verification procedures by the Customer, and DEM may reject the order in the event of non-payment. In such a case, DEM will inform the Client about it.
3. PRICE
The applicable prices are those indicated on the website on the date of the order and detailed in the order confirmation. The price offered to the Customer is the final price that includes the legally applicable taxes, as well as the applicable fees, as provided in the product description at the time of placing the order.
The amount of the shipping costs will be paid together with the payment of the corresponding price. Shipping costs are indicated in a broken down manner at the time of ordering.
4. PAYMENT
Payment will be made at the end of the purchase process and will be an essential condition for its formalisation.
The Client may select any of the payment methods made available to them for the payment of the Products. In no case can payment be made later. The Client has the following means of payment: Pay Pal and credit or debit card. By authorising the payment, the Client confirms that he/she is the legitimate owner of the means of payment used.
Credit and debit cards will be subject to checks and authorisations by the issuing entity. If the issuing entity does not authorise the payment, the order cannot be formalised.
In the case of purchases made outside the website, through direct negotiation with DEM, payment may be made, where appropriate, by bank transfer, in accordance with the agreement between DEM and the buyer.
DEM will issue the invoice corresponding to the purchase made and send it to you by sending an email to the address indicated by the buyer when placing the order. The Client must keep the invoice, as necessary in the event of a return and for the provision of the appropriate guarantees as a means of proof of the date of purchase, model and product purchased.
5. DELIVERY AND AVAILABILITY
All orders confirmed by DEM Alimentos S.L. will be delivered to the delivery address specified by the Client when placing their order within a period of time between 24 and 72 hours after the order has been confirmed. The billing address and shipping address do not need to match. In the case of shipments to the Canary Islands, the delivery time will be 7 days. A delivery note will be sent with the product that the Customer must keep.
In the event of not being able to make the delivery due to the absence of the recipient, the transport agency will leave an indicative note and will try to contact the recipient by email or written message to the mobile number. After two failed attempts, the Customer must contact the transport agency to proceed with the delivery.
In the event that the delivery of the order cannot be made for reasons beyond the control of DEM Alimentos S.L., an attempt will be made to contact the Customer again to agree on a new place and date of delivery.
DEM may reject the order in the event of unavailability of the product. In such a case, DEM will inform the Client and proceed to refund the amount of the same.
6. VERIFICATION OF THE MERCHANDISE
It is the responsibility of the Client to verify the quantity and condition of the merchandise.
In the event that at the time of delivery obvious damage is detected on the packaging or on the product itself, the Customer must state this on the delivery note signed by the carrier, and contact DEM, by sending an e-mail to hola@fudiandco.com or by calling Customer Service, at +34 633 431 157, within 24 hours of receipt of the goods.
7. OBLIGATIONS OF THE CLIENT
The Client undertakes to:
• To make use of the services and products offered by DEM in accordance with the law, good customs and the requirements of good faith.
• Provide truthfully and accurately the data provided during the purchase process, being responsible for all the consequences that may arise from the falsity of the data provided.
• Pay the price of the contracted products.
El incumplimiento de cualquiera de estas obligaciones podrá dar lugar al rechazo del pedido por parte de DEM, sin derecho por parte del Cliente a recibir ninguna indemnización.
8. CANCELACIÓN DEL PEDIDO
El Cliente podrá anular un pedido siempre y cuando este no haya sido enviado.
Para proceder a la anulación, el Cliente deberá ponerse en contacto con DEM mediante correo electrónico enviado a hola@fudiandco.com, indicando el número de pedido. Una vez solicitada la anulación, DEM enviará al Cliente un correo electrónico confirmando la anulación del pedido en el caso de que este sea posible y procederá a reembolsarle el dinero.
9. DESISTIMIENTO
El CLIENTE tiene derecho a desistir de su pedido en un plazo de 14 días naturales sin necesidad de justificación. El plazo de desistimiento expirará a los 14 días naturales del día que el CLIENTE o un tercero indicado por el CLIENTE, distinto del transportista, adquirió la posesión material de los bienes.
Para ejercer el derecho de desistimiento, el Cliente deberá comunicarlo a DEM mediante correo electrónico a hola@fudiandco.com o llamando al Servicio de Atención al Cliente, al número +34 633 431 157, indicando el número de pedido y de factura.
DEM reembolsará:
• El importe correspondiente (incluyendo los gastos de envío de la entrega inicial)
• Los costes directos de devolución del producto, siempre y cuando la devolución de los Productos se realice a través de un mensajero/courier organizado por DEM.
DEM procederá al reembolso sin demoras indebidas y, en cualquier caso, antes de que hayan transcurrido 14 días naturales desde la fecha en que haya sido informado de la decisión de desistimiento. El reembolso se realizará por el mismo medio de pago con el que se abonó. No obstante, DEM podrá retener el reembolso hasta haber recibido los bienes.
A los efectos de hacer uso del derecho de desistimiento, es necesario que el producto sea devuelto en su embalaje original junto con la factura y todos sus componentes. Antes de devolver el producto, el Cliente debe asegurarse de que el mismo se encuentra debidamente protegido y precintado para que no sufra ningún daño durante el transporte.
Queda excluido el derecho de desistimiento en los siguientes casos:
• Cuando, por la propia naturaleza de los bienes objeto de adquisición, sea imposible llevarla a cabo.
• Cuando existan indicios de que los productos han sido desprecintados de su embalaje original, abiertos, manipulados o expuestos a condiciones inadecuadas. Es obligatorio devolver los productos protegidos correctamente, en su embalaje original, en perfecto estado para su venta posterior.
10. CAMBIOS Y DEVOLUCIONES
En el caso de que el Cliente reciba el producto con algún defecto o no se corresponda con la descripción indicada en la oferta en el momento de la entrega, el Cliente podrá solicitar:
• El cambio de Producto por otro de iguales características, o bien;
• La devolución del producto
Para proceder al cambio o devolución del Producto, el Cliente deberá comunicarlo a DEM mediante correo electrónico a hola@fudiandco.com o llamando al Servicio de Atención al Cliente, al número +34 633 431 157, indicando el número de pedido y de factura.
DEM reembolsará:
• El importe correspondiente (incluyendo los gastos de envío de la entrega inicial)
• Los costes directos de devolución del producto, siempre y cuando la devolución de los Productos se realice a través de un mensajero/courier organizado por DEM.

En todo caso, es necesario que el producto sea devuelto en su embalaje original junto con la factura y todos sus componentes. Antes de devolver el producto, el Cliente debe asegurarse de que el mismo se encuentra debidamente protegido y precintado para que no sufra ningún daño durante el transporte.
11. GARANTÍA LEGAL DE LOS PRODUCTOS
Los Productos de DEM quedan garantizados según con las condiciones específicas detalladas en la documentación del producto, de conformidad con la legislación aplicable.
Los productos alimenticios ofertados bajo la marca Fudi&Co han pasado satisfactoriamente todos los controles de calidad requeridos por la legislación aplicable.
12. EXENCIÓN DE RESPONSABILIDAD
DEM garantiza todos los derechos que las Leyes en vigor otorguen a los consumidores y usuarios y se compromete a hacer todo esfuerzo razonable en el cumplimiento de sus obligaciones.
No obstante a lo anterior, DEM no será responsable por ningún incumplimiento o retraso en la observancia de alguna de las obligaciones previstas en las presentes Condiciones Generales, cuya causa se deba a actos, acontecimientos, falta de ejercicio, omisiones o accidentes que estén fuera de su control razonable («Causa de Fuerza Mayor»), entre otros, los siguientes:
• Huelgas, cierres patronales u otras medidas reivindicativas.
• Incendio, explosión, tormenta, inundación, terremoto, hundimiento, epidemia o cualquier otro desastre natural.
• Imposibilidad de uso de trenes, barcos, aviones, transportes de motor u otros medios de transporte, públicos o privados.
• Imposibilidad de utilizar sistemas públicos o privados de telecomunicaciones.
• Actos, decretos, legislación, normativa o restricciones de cualquier gobierno o autoridad pública.
Las obligaciones de DEM derivadas del presente contrato quedarán suspendidas en tanto en cuanto la situación de Causa Fuerza Mayor, disponiendo en consecuencia de una ampliación en el plazo para cumplir dichas obligaciones por un periodo de tiempo igual al que dure dicha situación.
13. PROTECCIÓN DE DATOS
De conformidad con la normativa de protección de datos de carácter personal, los datos facilitados por el Cliente durante el proceso de compra serán incorporados a un fichero automatizado debidamente inscrito, titularidad DEM, con la finalidad de poder identificar al Cliente, completar el proceso de compra y llevar a cabo todas las gestiones y acciones que resulten necesarias para la compra así como para poder hacerle llegar ofertas, mensajes publicitarios y encuestas por cualquier sistema, referente a los productos. El Cliente acepta expresamente la presente Cláusula así como nuestra Política de Protección de Datos, a la que puede acceder pinchando aquí.
En cualquier caso, el Cliente podrá ejercer sus derechos de acceso, rectificación, cancelación y oposición de la manera prevista en nuestra Política de Protección de Datos.
14. DERECHOS EXCLUSIVOS
El Cliente se abstendrá de utilizar el nombre, logotipo, marcas comerciales, nombres comerciales, presentación comercial, diseño, apariencia y estilo y otros derechos exclusivos (en conjunto, los “Derechos Exclusivos”) en su publicidad, comunicaciones, publicaciones u otras obras sin la previa autorización por escrito de DEM. El Cliente no podrá eliminar, borrar, confundir, desfigurar, cubrir ni modificar la marca Fudi&Co u otras marcas pertenecientes a DEM o de cualesquiera productos ofertados por DEM en su web ni añadir ninguna marca de DEM u otras marcas a los materiales proporcionados por DEM y los Productos y su empaquetado. El Cliente y sus agentes se abstendrán de registrar y utilizar marcas comerciales que pudieran inducir a confusión con los Derechos Exclusivos de DEM.
15. CONTROL DE EXPORTACIÓN
El Cliente deberá cumplir con la normativa legal y reglamentaria de los Estados Unidos de América, la Organización de las Naciones Unidas y los Estados miembros de la Unión Europea y la Asociación Europea de Libre Comercio, aplicables a la exportación, exportación paralela, reexportación, transmisión y reventa de los productos o la prestación de los servicios y los datos técnicos asociados (las “Normas de Exportación”). El Cliente se abstendrá de (i) ofrecer Productos o Servicios en cualquier país en contravención de las Normas de Exportación u otras normas legales y (ii) ofrecer Productos o Servicios en países en los que se requiera una licencia de exportación u otra autorización administrativa sin obtener previamente las necesarias licencias y autorizaciones.

En caso de que la solicitud no sea resuelta satisfactoriamente, el Cliente podrá acudir a la jurisdicción ordinaria o tramitar su reclamación a través del sitio web http://ec.europa.eu/odr, que proporcionará de manera gratuita un punto único de acceso para la resolución extrajudicial.
17. LEY APLICABLE Y JURISDICCIÓN
Las presentes Condiciones Generales de Compra están sometidas a Derecho español común
En el caso de el Cliente tenga la condición de consumidor serán competentes los juzgados y tribunales competentes según lo previsto en la normativa de consumidores vigente.
En el caso de que el Cliente tenga la condición de empresa, el contrato tendrá carácter mercantil, resultando competentes los Juzgados y Tribunales de Gijón, con renuncia expresa del fuero que le pueda corresponder a cada una de las partes.

The following General Condition of Purchase regulate the purchase by the client of the products sold in the website www.fudiandco.com (hereinafter Fudi&Co), which is owned by DEM Alimentos S.L. (hereinafter DEM). DEM is a Limited Partnership with registered address at Calle Marques de San Esteban 1, 4th floor, Gijon, Asturias 33206, and with tax ID number B-52549821, registered in the Mercantile Registry of Asturias (Deed 2017/486, Volume 4243, Folio 165, Sheet 1 AS-50952).
These General Purchase Conditions are complemented by the conditions stipulated in the Terms of Use of the Site and in our Privacy Policy.
The Client acknowledges their legal capacity to oblige and acquire the products, and accepts to bind to these General Terms.
Individuals may only acquire product if they are aged eighteen (18) or older and are residents of the European Union with a delivery address in the Peninsula, Balearic or Canary Islands.

2. PURCHASE PROCESS
The purchase of products offered in Fudi&Co is carried out by selecting the chosen products, which will be included in the shopping cart. Once selected the purchase will continue, proceeding to the completion of the personal data for the issuance of the invoice, selecting a payment method and shipping information of the products. The completion may require the Customer’s registration as a user of Fudi&Co, for which the customer must fill out the corresponding form provided for such purposes.
In the purchase and sale process the Customer may modify the selected products as well as the number of these, filled-in the personal data, the payment method and the place of shipment by going back in the Fudi & Co purchase procedure before the final acceptance of the purchase.
Once the purchase has been finalized it will be confirmed by acknowledgment of receipt via email, within a maximum period of 24 hours to the address provided by the buyer confirming the products purchased, costs, taxes and shipping expenses, the method of payment, delivery address and expected delivery time. At this moment, the contract will be formalized (in Spanish) and will represent the full acceptance by the Client of the DEM sale made through Fudi & Co and of any applicable conditions.
All purchase is subject to payment verification by the Client. DEM may reject an order in case of non-payment. In such case, DEM will inform the Client accordingly.
3. PRICE
The applicable prices are those indicated on the website on the date of order and detailed in the confirmation of said order. The price offered to the Client is the final price that includes the applicable taxes, as well as any applicable fees as indicated in the description of the product at the time of placing the order. Shipping costs will be paid together with the payment of the price of the product. The shipping costs are indicated in a disaggregated way at the time of placing the order.
4. PAYMENT
Payment will be made at the end of the purchase process and will be a requirement for the finalization of said order.
The Client may select any payment form made available to him for the payment of the Products. In no case shall the payment be made later. The Client has the following means of payment: Pay Pal and credit or debit card. By authorizing the payment, the Client confirms that he/she is the legitimate owner of the means of payment being used.
Credit and debit cards will be subject to checks and authorizations by the issuing entity. If the issuing entity does not authorize the payment, the order cannot be finalized.
Purchases made outside the web through direct negotiation with DEM, can be paid, on a case by case basis, by bank transfer if agreed to by both DEM and the buyer.
DEM will issue the invoice corresponding to the purchase made and will send it by email to the address provided by the buyer when placing the order. The Customer must keep the invoice in case of a product return and as proof of the date of acquisition and product purchased.
5. DELIVERY AND AVAILABILITY
All orders confirmed by DEM Alimentos S.L. will be delivered to address specified by the Client when placing the order in a window of time of 24 to 72 hours after the order is confirmed. The billing and shipping address do not have to match. In the case of shipments to the Canary Islands the deadline for delivery will be 7 days. Together with the product, a waybill shall be sent which the Client shall keep.
In the event a delivery cannot be made due to the customer not being present the transport agency will leave a note indicating this attempt, and will try to contact the Client by email or written message to the recipient´s mobile number. After two failed attempts, the Customer must contact the transportation agency to proceed with the delivery.
In the event delivery of the order could not be completed for reasons beyond the control of DEM Alimentos S.L., an attempt will be made to contact the Customer again to agree on a new place and date of delivery.
DEM may reject an order due to unavailability of the product. In such case, DEM will inform the Client and will proceed to reimburse the paid amount.
6. INSPECTION OF GOODS
It is the Client´s responsibility to verify the quantity and condition of the merchandise. In case of obvious damages on the packaging or on the product itself, the Client must reflect it on the delivery slip signed by the carrier and contact DEM by sending an e-mail to Hola@fudiandco.com or by calling Customer Service at +34 633 431 157, within 24 hours of receipt of the goods.
7. CUSTOMER OBLIGATIONS
The customer obliges to:
• To make use of the services and products offered by DEM according to the law, decency and good faith.
• To provide data truthfully and accurately during the purchase process and assuming responsibility for all and any consequences that could derive from the falsity of the provided data.
• Pay the price of the purchased products.
Failure to comply with any of these obligations may lead to the rejection of the order by DEM, without any right of the Client to receive any compensation.
8. CANCELLATION OF ORDER
The Client may cancel the order as long as it has not been shipped.
To cancel and order the Client must contact DEM by sending an e-mail to hola@fudiandco.com indicating the order number. Once the cancellation is requested, DEM will send an email to the Client confirming the cancellation of the order if it is possible, and will proceed to reimburse the money.
9. WITHDRAWAL
The Client has the right to withdraw an order within 14 calendar days without justification. The withdrawal period will expire on the 14 calendar days of the day that the Client or a third party indicated by the Client (other than the carrier) took possession of the goods.
To exercise the right of withdrawal, the Customer must notify DEM by email to hola@fudiandco.com or by calling Customer Service at +34 633 431 157, indicating the order number and invoice number. DEM will reimburse:
• The corresponding amount (including the initial delivery costs)
• The direct costs of returning the product, as long as the return of the Products is done through a courier / messenger organized by DEM.
DEM will proceed to reimbursement without undue delay and, in any case, before 14 calendar days since the date on which it was informed of the decision to withdraw. The refund will be made by the same means of payment used for the purchase. However, DEM may hold reimbursement until the goods have been received.
To use the right of withdrawal it is necessary that the product be returned in its original packaging together with the invoice and all its components. Before returning the product, the Customer must ensure that it is properly protected and sealed so that it does not suffer any damage during transportation.
Right of withdrawal is excluded in the following cases:
• When, by the very nature of the goods being acquired, it is impossible to carry out the withdrawal.
• When there are indications that the products have been unsealed in their original packaging, opened, handled or exposed to inappropriate conditions. It is mandatory to return the products with the proper protection, in their original packaging, in perfect condition for sale later.
10. CHANGES AND RETURNS
If the Customer receives faulty product or the product does not correspond to the description indicated in the order at the time of delivery, the Customer may request:
• The change of Product by another of similar characteristics, or;
• The return of the product.
To proceed with the change or return of the Product, the Customer must notify DEM by email to hola@fudiandco.com or by calling Customer Service at +34 633 431 157, indicating the order and invoice number.
DEM will reimburse:
• The corresponding amount (including the costs initial delivery)
• The direct costs of returning the product, as long as the return of the Products is done through a courier / messenger organized by DEM.
DEM will proceed to reimbursement without undue delay and, in any case, before 14 calendar days since the date on which it was informed of the decision to withdraw. The refund will be made by the same means of payment used for the purchase. However, DEM may hold reimbursement until the goods have been received.
It is necessary that the product be returned in its original packaging together with the invoice and all its components. Before returning the product, the Customer must ensure that it is properly protected and sealed so that it does not suffer any damage during transportation.
11. LEGAL WARRANTY ON PRODUCTS
DEM Products are warranted in accordance with the specific conditions detailed in the product documentation, in accordance with applicable law.
The food products offered under the Fudi&Co brand have satisfactorily passed all the quality controls required by the applicable legislation.
12. DISCLAIMER
DEM guarantees all the rights that current Laws grant to consumers and users, and it commits to making every reasonable effort in fulfilling its obligations.
Notwithstanding the foregoing, DEM shall not be liable for any breach or delay in observance of any of the obligations set forth in these General Terms, the cause of which is due to acts, events, lack of exercise, omissions or accidents that are outside of Its reasonable control ("Cause of Force Majeure"), among others including but not limited to:
• Strikes, lockouts or other industrial action.
• Fire, explosion, storm, flood, earthquake, sinking, epidemic or any other natural disaster.
• Inability of using trains, ships, aircraft, motorized transports or other means of transport, public or private.
• Inability to use public or private telecommunication systems.
• Acts, decrees, legislation, regulations or restrictions of any government or public authority.
DEM ́s obligations derived from this contract will be suspended as soon as the situation of Force Majeure begins, thus providing for an extension in the term to fulfill such obligations for a period of time equal to that during which the situation lasts.
13. DATA PROTECTION
In accordance with regulations for the protection of personal data, data provided by the Client during the purchase process will be incorporated into a duly registered automated file, owned by DEM, and will be used to be able to identify the Customer, complete the purchase process and carry out all steps and actions necessary for the purchase, as well as to be able to send you offers, advertising messages and surveys related to the products. The Client expressly accepts this clause as well as our Data Protection Policy, which can be accessed by clicking here.
The Client may in all cases exercise his rights of access, rectification, cancellation and oobjection in the manner provided in our Data Protection Policy.
14. EXCLUSIVE RIGHTS
The Client shall refrain from using the name, logo, trademarks, trade names, commercial presentation, design, appearance and style and other exclusive rights (collectively, the «Exclusive Rights») in its advertising, communications, publications or other works without prior written authorization by DEM. The Customer may not remove, erase, blur, deface, cover or modify the Fudi & Co brand or other marks belonging to DEM or any products offered by DEM on its website or add any marks of DEM, or other marks in the materials provided by DEM, the products and their packaging. The Client and its agents will refrain from registering and using trademarks that could lead to confusion with the Exclusive Rights of DEM.
15. EXPORT CONTROL
The Client shall comply with all regulations of the United States of America, the United Nations and the Member States of the European Union and the European Free Trade Association applicable to the export, parallel export, re-export, forwarding and resale of products or the provision of services and associated technical data (the "Export Rules"). The Customer shall refrain from (i) offering Products or Services in any country in breach of Export Regulations or other legal regulations and (ii) offering Products or Services in countries where an export license or other administrative authorization is required, without previously obtaining the necessary licenses and authorizations.

17. APPLICABLE LAW AND JURISDICTION
These General Conditions of Purchase are subject to Common Spanish Law:
In case the Client has the status of consumer, the competent courts and tribunals will be have jurisdiction per the provisions of the current consumer regulation.
In the event that the Client has the status of company, the contract will be commercial in nature, the Courts and Tribunals of Gijón will have jurisdiction, expressly waiving the jurisdiction that may correspond to each of the parties.
